This Referral Partner Agreement is made effective as of the most recent date signed below, by and between Cassus Media LLC ("Company") and the organization signed below ("Referral Partner").

1. Purpose

The purpose of this Agreement is to outline the terms and conditions under which the Referral Partner will refer potential clients to Cassus Media LLC and receive recurring commission payments for successful referrals as an independent, non-exclusive referral partner of the Company.

2. Referral Commission

2.1 The Referral Partner will receive a commission of 20% of the gross amount paid to Cassus Media LLC by any client referred by the Referral Partner.

2.2 The commission is applicable to any products or services that the referred client purchases or subscribes to, including recurring subscriptions and one-time purchases such as website packages, where the commission is calculated on the total value of the purchase.

2.3 For recurring services, the commission recurs each month for as long as the referred client remains an active, paying client of the Company.

3. Payment Terms

3.1 Commission payments will be made to the Referral Partner via the Company's payroll or payment provider. The Referral Partner will provide the information needed to set up its payee profile and banking details for payouts.

3.2 Commission payments will be processed and disbursed within 30 days after Cassus Media LLC receives payment from the referred client, on a rolling basis.

3.3 Should the referred client cease services with the Company, the Referral Partner will no longer receive commissions from the then-former client.

4. Responsibilities of the Referral Partner

4.1 The Referral Partner agrees to: refer potential clients to Cassus Media LLC; provide accurate information about Cassus Media LLC's services; ensure that referred clients are aware they were referred by the Referral Partner; and report any client feedback or issues to Cassus Media LLC promptly.

4.2 The Referral Partner is not responsible for the day-to-day deliverables, assets, content, or services provided to referred clients. The Company will sell and service all work. The Company agrees to do its best to serve referred clients but cannot guarantee that any client will continue services indefinitely.

4.3 The Referral Partner is a non-exclusive partner. Nothing in this Agreement prevents either party from working with other partners, vendors, or clients.

5. Independent Status

5.1 The Referral Partner is an independent business and not an employee, agent, joint venturer, or legal partner of Cassus Media LLC.

5.2 The Referral Partner is responsible for its own taxes, insurance, and legal or financial obligations related to its referral activities, and will complete a W-9 (or W-8, if applicable) for tax purposes.

6. Term and Termination

6.1 This Agreement shall remain in effect until terminated by either party.

6.2 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Commissions on clients referred prior to termination continue for as long as those clients remain active, unless otherwise agreed in writing.

7. Confidentiality

7.1 The Referral Partner agrees to keep all non-public information related to Cassus Media LLC's business, clients, and referral process confidential and not to disclose it to any third party without the prior written consent of Cassus Media LLC.

8. Miscellaneous

8.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.

8.2 This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.

8.3 Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
